Terms of Service
Effective July 5, 2026
Welcome to Florlist. Florlist (the “Platform”) is owned and operated by Toccata Inc. (“Toccata”, “we”, “us”), a corporation incorporated under the laws of Saskatchewan, Canada. By creating an account or using the Platform, you agree to these Terms of Service (the “Terms”). If you do not agree, please do not use the Platform.
1. What Florlist is
Florlist is a marketplace platform that connects flower farmers (“Farms”) with flower buyers, primarily florists (“Florists”). Farms list their availability on a hosted storefront; Florists browse and place orders. Florlist provides the tools: storefronts, ordering, planning, messaging, email marketing, analytics, and related features. Florlist is not a party to the transactions between Farms and Florists. Each sale is a contract between the Farm and the Florist, and the Farm is solely responsible for its products, their quality, fulfillment, and compliance with applicable law.
2. Accounts
- You must provide accurate information when creating an account and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- You must be at least the age of majority in your province or territory to open an account.
- One person or business may not maintain multiple accounts for abusive purposes.
3. Fees and payments
- The core Platform is free for Farms and Florists. We may offer optional paid features (for example, priority support or Theme Studio credits); their prices are shown before you buy and are one-time charges unless stated otherwise.
- Farms may optionally enable card payments through Stripe Connect. When enabled, Florlist charges a platform fee (currently 4% of the transaction) in addition to Stripe’s processing fees. Funds flow directly from the Florist to the Farm’s Stripe account; Florlist does not hold your money.
- Farms are responsible for setting their own prices, taxes, and delivery fees, and for remitting any taxes they collect. Florlist’s tax tools are a convenience, not tax advice.
- Refunds for orders are between the Farm and the Florist. The Platform provides tools for full and partial refunds, but the decision belongs to the Farm, subject to applicable consumer law.
4. Farm content and storefronts
- Farms retain ownership of the content they upload (photos, descriptions, logos). By uploading, you grant Toccata a non-exclusive, worldwide, royalty-free licence to host, display, and distribute that content for the purpose of operating and promoting the Platform.
- You are responsible for having the rights to everything you upload. Do not upload content you do not own or have permission to use.
- We may remove content that is unlawful, infringing, deceptive, or that otherwise violates these Terms.
5. Reviews
- Only Florists who completed an order with a Farm can review that Farm. Reviews are moderated automatically for abusive content and may be reviewed by our team.
- Farms may show or hide the reviews section on their storefront as a whole, but may not edit or selectively remove individual reviews. This is what makes the “Verified by Florlist” badge meaningful.
- Reviews must be honest and based on a genuine transaction. We may remove reviews that are fraudulent, abusive, or unrelated to the order.
6. Market Report
The Market Report shows anonymous, aggregated pricing across the Platform. Access is opt-in: by opting in, you agree that your listings (prices, flower types, varieties, and general region, never your name or farm identity) may be included in the aggregated data. Market data is informational only and is not pricing advice; you remain solely responsible for your prices.
7. AI features
Some features (for example, review moderation and Theme Studio) use artificial intelligence. AI output can be imperfect; you are responsible for reviewing AI-generated content (such as custom themes) before publishing it. Inputs you provide to AI features are processed by our infrastructure providers solely to deliver the feature.
8. Acceptable use
- No unlawful, deceptive, or fraudulent activity, including fake orders, fake reviews, or misrepresenting products.
- No scraping, reverse engineering, or interfering with the Platform’s operation or security.
- No use of the Platform to send spam or unsolicited communications. Subscriber emails may only be used through the Platform’s email tools for updates the subscriber signed up for.
- No uploading of malicious code or content that infringes the rights of others.
9. Termination
You can close your account at any time. We may suspend or terminate accounts that violate these Terms, create risk for other users, or where required by law, with notice where reasonably possible. Sections that by their nature should survive termination (including licences to already-published aggregated data, disclaimers, and limitations of liability) survive.
10. Disclaimers
The Platform is provided “as is” and “as available”. To the maximum extent permitted by law, Toccata disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation, or that the Platform will meet your requirements. We are not responsible for the conduct of Farms or Florists, the quality of products, or the outcome of any transaction.
11. Limitation of liability
To the maximum extent permitted by law, Toccata’s total liability arising out of or relating to the Platform will not exceed the greater of (a) the amounts you paid to Toccata in the twelve months before the claim, and (b) CAD $100. Toccata is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Indemnity
You agree to indemnify and hold Toccata harmless from claims arising out of your content, your use of the Platform, your transactions with other users, or your breach of these Terms.
13. Changes
We may update these Terms from time to time. Material changes will be announced on the Platform or by email, and continued use after the effective date constitutes acceptance. We may add, change, or retire features at any time.
14. Governing law
These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the courts of Saskatchewan for any dispute arising from these Terms or the Platform, subject to any consumer rights you may have to bring proceedings in your home jurisdiction.
